These Terms of Service ("Terms") establish the rights and obligations between Murple Co., Ltd.("Company," "we," "us," or "our") and users of the Murfy service ("User," "you," or "your"). The purpose of these Terms is to regulate the contractual relationship between the Company and Users, ensuring clear guidelines for the proper use of the Murfy service, which includes an AI-powered LaTeX editor for researchers and academic professionals.
- The Company provides an AI-native LaTeX editing platform that enables users to create, collaborate on, and publish research papers more efficiently through advanced artificial intelligence capabilities trained on millions of academic publications.
- These Terms govern all aspects of User access to and use of the Murfy service, including but not limited to account creation, service usage, content submission, collaboration features, and payment terms.
- By accessing or using the Murfy service, Users agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not use the service.
The following terms shall have the meanings set forth below throughout these Terms of Service:
- "Service" means the Murfy platform and all features, functionalities, content, and tools provided by the Company, including the LaTeX editor, AI writing assistance, collaboration features, and related technical infrastructure.
- "User" means any individual or entity that accesses, registers for, or uses the Murfy service, whether as a free user, paid subscriber, or trial participant.
- "Member" means a User who has successfully registered for an account and has agreed to these Terms of Service.
- "Account" means a user profile created by a Member through the registration process, including all associated data, preferences, documents, and subscription information.
- "Content" means any materials, documents, code, text, images, data, or other information uploaded, created, or submitted by Users to the service, including LaTeX files, collaborative documents, and research papers.
- "Post"means any Content uploaded or submitted by a User to the service or shared through the platform's collaboration or sharing features.
- "Subscription Plan" means a paid membership tier offering access to premium features, with options including monthly and annual billing cycles.
- "Intellectual Property Rights" means all copyrights, trademarks, patents, trade secrets, and other proprietary rights recognized by applicable law.
- "Unauthorized Use" means accessing the service without proper authorization, using false credentials, or attempting to circumvent security measures.
- "Suspension" means a temporary restriction of User access to the service or specific features due to violation of these Terms.
- "Termination"means the permanent cessation of a User's right to access and use the service.
Article 3
Effectiveness and Amendment
These Terms of Service shall become effective upon the User's acceptance during registration or initial use of the service, and shall remain in effect throughout the duration of the service agreement unless terminated in accordance with these Terms.
- The Company reserves the right to amend, modify, or supplement these Terms at any time. When material changes are made, the Company will provide notice to Users through the service interface, email, or other reasonable means of communication.
- Users will be given at least thirty (30) days' notice of any material changes to these Terms. Continued use of the service following notification of changes constitutes acceptance of the amended Terms.
- If a User does not agree with any amendments to these Terms, the User may terminate their account as outlined in Article 5 prior to the effective date of the amendments.
- The Company will maintain a version history of these Terms on the service website, allowing Users to review all previous versions and changes made.
- Non-material amendments, such as clarifications or administrative updates, may be implemented immediately without advance notice.
Article 4
Supplementary Provisions
Where these Terms do not specifically address a matter or situation, the following supplementary provisions shall apply:
- Any additional terms, policies, or guidelines published by the Company (including but not limited to privacy policies, acceptable use policies, and fair use guidelines) are incorporated into these Terms by reference and shall be binding on Users.
- In the event of any conflict between these Terms and any supplementary policy, these Terms shall control unless the supplementary policy explicitly states that it supersedes these Terms.
- Users acknowledge that the Company may from time to time update supplementary policies and guidelines as necessary to address new services, legal requirements, or operational needs.
Article 5
Formation of Service Use Contract
A contract for the use of the Murfy service is formed when a User accepts these Terms and successfully completes the registration process, establishing a binding agreement between the User and the Company.
- The service agreement constitutes a legally binding contract governing the relationship between the User and the Company for the provision and use of the Murfy service.
- The contract remains in effect from the date of acceptance until terminated by either party in accordance with the provisions of these Terms.
- By accepting these Terms during registration, Users affirm that they have read, understood, and agree to be bound by all terms and conditions outlined herein.
- Users represent and warrant that they are of legal age in their jurisdiction and have the legal capacity to enter into this binding contract.
- The Company may require Users to provide additional confirmations or acknowledgments of their agreement to these Terms at any time.
Article 6
Application for Service Use
To access the Murfy service, Users must submit a formal application for service use by completing the registration process and providing all requested information.
- Users must create an account by providing accurate, complete, and truthful information, including but not limited to name, email address, and other identifying details as requested by the Company.
- Users are responsible for maintaining the confidentiality of their account credentials, including passwords and authentication tokens. Users shall not share their account information with third parties.
- Users agree to keep their account information current and accurate, and to update their profile information as necessary to reflect any changes.
- Users may apply for service by completing an online registration form, and the Company will process applications in the order received, subject to verification and approval.
- The Company may request additional information or documentation from Users as part of the verification process, and Users agree to provide such information within a reasonable timeframe.
Article 7
Approval and Restriction of Application
The Company shall review all service applications and may approve, conditionally approve, or reject applications in its sole discretion based on applicable criteria and service availability.
- The Company will notify Users of approval status within five (5) business days of application submission. Approved Users will receive account activation instructions and access to the service.
- The Company reserves the right to restrict or deny service access to Users who: (a) have previously violated these Terms; (b) have engaged in fraudulent or illegal activity; (c) are in default on payment obligations; or (d) pose a security risk to the service or other Users.
- If an application is rejected, the Company will provide a brief explanation of the reason for rejection where legally permissible, though the Company is not obligated to disclose specific security criteria.
- Users may appeal a rejection or restriction decision by contacting the Company's support team within ten (10) days of notification. Appeals will be reviewed by management.
- The Company may impose restrictions on new accounts, including limitations on features, storage, or collaboration capabilities, to prevent abuse and protect service integrity.
Article 8
Change of Member Information and Management
Members must maintain accurate account information and shall promptly update their profiles with any changes to their personal or organizational details.
- Members may update their account information, including name, email address, password, and contact details, through the account settings interface.
- Members are responsible for notifying the Company of any changes to their billing address, payment method, or subscription plan preferences.
- The Company may request verification of identity changes and may temporarily restrict account access during verification processes for security purposes.
- Members agree to provide accurate information at all times and shall not misrepresent their identity or create multiple accounts to circumvent service limitations or restrictions.
- The Company may periodically require Members to verify their account information to maintain accurate records and ensure compliance with applicable regulations.
The Company's collection, use, and protection of User personal information is governed by the Murfy Privacy Policy, which is incorporated into these Terms by reference.
- Users consent to the collection and processing of personal information as described in the Privacy Policy, including information necessary to provide the service and improve user experience.
- The Company commits to protecting User data in accordance with applicable privacy laws and industry standards, implementing reasonable security measures to prevent unauthorized access or disclosure.
- Users have the right to access, correct, and request deletion of their personal information in accordance with applicable privacy laws, subject to certain exceptions for legal compliance or legitimate business purposes.
- The Company may share User information with trusted third-party service providers who assist in operating the service, but only under strict confidentiality agreements and for legitimate service purposes.
- Users acknowledge that the Company may use aggregated and anonymized data for analytics, service improvement, and research purposes without restriction.
Article 10
Notification to Members
The Company shall communicate important notices and information to Members through designated channels including email, in-service notifications, and account messaging.
- Members agree to receive electronic communications and notifications from the Company regarding account activity, service updates, policy changes, billing matters, and other important information.
- Notification may be provided via email to the address on file, in-service messaging, or through other reasonable means of electronic communication. Members are responsible for maintaining current contact information.
- Members agree to promptly read and respond to time-sensitive notifications, including password reset requests, security alerts, and billing reminders.
- Critical notifications regarding service suspension, termination, or policy violations will be sent to the email address on file and may include additional confirmation through in-service messaging.
- Members may opt out of non-critical marketing communications, but shall remain subscribed to transactional and critical service notifications.
Article 11
Company's Obligations
The Company commits to performing the following obligations in order to provide Users with a secure, reliable, and functional service experience.
- The Company shall provide Members with access to the Murfy service and maintain the technical infrastructure necessary to support service operations and user access.
- The Company shall implement reasonable security measures to protect User data and account information from unauthorized access, including encryption, firewalls, and access controls.
- The Company shall provide customer support to assist Users with technical questions, account issues, and general service inquiries through email and help documentation.
- The Company shall maintain the confidentiality of User personal information and shall not disclose such information to third parties except as required by law or as expressly authorized by the User.
- The Company shall use reasonable efforts to maintain service availability and performance, though the Company does not guarantee uninterrupted or error-free service operation.
- The Company shall maintain version control and backup systems to protect User documents and prevent data loss due to system failures.
Article 12
Member's Obligations
Members agree to comply with all applicable laws and these Terms, and to use the Murfy service responsibly and in accordance with the Company's policies.
- Members shall not use the service for any illegal, harmful, or unethical purposes, including but not limited to fraud, hacking, harassment, defamation, or distribution of malicious software.
- Members shall not attempt to gain unauthorized access to the service, other user accounts, or the Company's systems through hacking, password cracking, or other means.
- Members shall not upload, post, or share content that infringes on intellectual property rights, violates privacy, contains malware, or violates any applicable laws.
- Members shall not engage in commercial activities, spamming, or mass data collection without prior written authorization from the Company.
- Members shall not reverse-engineer, decompile, or attempt to derive the source code or underlying algorithms of the Murfy service.
- Members shall maintain their account credentials confidential and shall not share passwords or access tokens with other individuals.
- Members agree to pay all applicable fees and charges associated with their subscription plan in a timely manner according to the billing terms provided.
Article 13
Provision of Services
The Company provides the Murfy service according to the specifications and terms outlined in the service plan selected by the User.
- The service includes access to the LaTeX editor, AI writing assistance features, collaboration tools, document storage, PDF compilation, and other features as described on the Company website.
- The scope of service varies depending on the subscription plan selected by the User, including differences in storage capacity, AI query limits, collaboration user limits, and feature availability.
- Free trial accounts receive limited access to service features for an evaluation period, after which access is restricted unless the User converts to a paid subscription.
- The Company may provide service updates, bug fixes, and performance improvements without additional charge to all active Members.
- Members acknowledge that certain advanced features may require specific technical requirements or system capabilities on the User's device.
Article 14
Service for Testing Purposes
The Company may provide the Murfy service or specific features for testing and evaluation purposes to selected Users or organizations.
- Testing accounts receive temporary access to beta features, experimental functionality, or premium features without charge for a designated evaluation period.
- Users participating in testing programs acknowledge that such features may be unstable, incomplete, or subject to significant changes, and agree to provide feedback to help improve the service.
- Testing data and documents may be subject to deletion or modification by the Company as part of the testing process, and Users should not rely on testing accounts for long-term data storage.
- Testing programs may be terminated at any time at the Company's sole discretion, and Users will receive notice of the termination date.
- Testing account access does not create any purchase obligation or entitlement to continued access beyond the testing period, unless the User converts to a paid subscription.
Article 15
Service Changes
The Company reserves the right to modify, enhance, or discontinue features of the Murfy service at its discretion, subject to notice requirements for significant changes.
- The Company may update the service, modify features, or adjust pricing in response to market conditions, technological advances, user feedback, and legal requirements.
- For significant changes that materially affect service functionality or pricing, the Company will provide at least thirty (30) days' advance notice to affected Users.
- If service changes result in a material diminishment of service quality or functionality, Users may terminate their subscription and receive a prorated refund as outlined in the Refund Policy.
- The Company may discontinue free or trial features at any time without notice, though paid features will receive notice as specified above.
- The Company may sunset deprecated features or older versions of service components to maintain technical infrastructure and support modern standards.
The Company offers refunds for paid subscriptions under the following conditions and timeframes.
- Monthly Plans: For monthly subscription plans, Users may request a refund within seven (7) days of the initial purchase date. Refunds are provided only if the service has not been substantially used. After seven days, monthly subscriptions are non-refundable, though Users may cancel at any time to stop future charges.
- Annual Plans: For annual subscription plans, Users may request a refund within thirty (30) days of the initial purchase date. If a refund is requested after thirty days but within ninety (90) days, the User will receive a fifty percent (50%) refund of the annual subscription fee. After ninety (90) days, annual subscriptions are non-refundable.
- Substantial Use Determination:"Substantial use" is determined by metrics including documents created, collaboration features accessed, or extensive AI feature usage. Limited account access or minimal activity may qualify for refund consideration.
- Refund Method:Refunds will be issued to the original payment method used for the purchase within ten (10) business days of approval. Bank processing times may add additional days before funds appear in the User's account.
- No Refunds for Suspension: Users whose accounts are suspended or terminated due to violation of these Terms are not eligible for refunds, unless the suspension is determined to be in error by Company management.
- Promotional Credits: Promotional credits, discounts, and free trial periods are non-refundable and may not be transferred or exchanged for cash or other services.
Article 17
Provision of Information
The Company commits to providing Users with accurate, clear, and timely information regarding service features, pricing, policies, and account status.
- The Company maintains detailed documentation, tutorials, and help resources accessible to all Users to facilitate proper use of the service and troubleshooting of common issues.
- Service usage information, including storage capacity, file counts, collaboration activity, and billing status, is available to Users through the account dashboard.
- The Company shall provide invoice and billing information in accordance with applicable accounting standards and applicable tax regulations.
- Users may request additional information regarding their account, service usage, or data privacy at any time by contacting the Company's support team.
- The Company shall provide accurate quotes and pricing information, and shall clearly disclose any additional fees, taxes, or charges prior to processing payments.
The Murfy service operates continuously throughout the week, though scheduled maintenance and emergency repairs may cause temporary unavailability.
- The Company provides the service twenty-four (24) hours per day, seven (7) days per week, subject to scheduled maintenance windows and force majeure events.
- The Company may schedule maintenance windows for system updates, security patches, and infrastructure improvements. The Company will provide advance notice of scheduled maintenance whenever possible.
- Scheduled maintenance is typically performed during low-usage hours, with a preference for times outside business hours in the User's timezone when feasible.
- In the event of service outages or disruptions, the Company will make reasonable efforts to restore service as quickly as possible and will communicate status updates to affected Users.
- The Company maintains no guarantee of service uptime, though the Company uses industry-standard practices to maintain high availability and reliability.
- Customer support is available during regular business hours with email support available for urgent issues outside business hours.
Article 19
Management of Posts
The Company may monitor, review, and manage user-generated content to ensure compliance with these Terms and applicable laws.
- The Company reserves the right to remove, edit, or restrict access to any Content that violates these Terms, including content that is illegal, infringing, harmful, or offensive.
- The Company may remove content without notice in cases of immediate legal concern or safety threats, though the Company will notify the User as soon as practically feasible.
- For other policy violations, the Company will notify Users and provide an opportunity to cure the violation or appeal the decision.
- The Company may establish community guidelines and standards for content acceptable within the service platform, and Users agree to adhere to these guidelines.
- Users retain ownership of their original content, but by uploading content to the service, Users grant the Company a non-exclusive license to use, display, and process the content for service provision and improvement purposes.
Article 20
Copyrights of Posts
Users retain ownership of intellectual property rights to original content created and uploaded to the service, subject to the Company's limited license for service operation.
- By uploading content to Murfy, Users grant the Company a non-exclusive, royalty-free, worldwide license to use, process, display, and store the content as necessary to provide the service.
- The Company may use User content for the following limited purposes: (a) providing core service functionality including storage, display, and collaboration; (b) creating backups for data protection; (c) analyzing usage patterns to improve the service; and (d) complying with legal obligations.
- Users retain the right to download, export, or delete their content at any time. Deletion requests will be processed within thirty (30) days, subject to backup retention periods.
- Users shall not upload content that infringes on third-party intellectual property rights. Users represent and warrant that they own or have the right to use all content uploaded to the service.
- The Company will not use User content for commercial purposes, competitive analysis, or marketing without prior written consent from the User, except as necessary to provide the service.
- If third parties claim that User content infringes on their rights, the Company may remove the content pending resolution of the dispute.
Article 21
Service Use Restriction and Contract Termination
The Company may restrict User access or terminate service agreements when Users violate these Terms or pose risks to service integrity and security.
- Grounds for Suspension: The Company may suspend User access to the service for any of the following violations: (a) repeated breach of these Terms; (b) unauthorized access attempts; (c) uploading malware or harmful content; (d) engaging in harassment or abuse; (e) payment delinquency; or (f) suspected fraud.
- Suspension Procedures: Except in emergency circumstances, the Company will provide notice and an opportunity for the User to remedy the violation within a reasonable timeframe (typically ten days) before imposing suspension.
- Grounds for Termination:The Company may terminate a User's service contract for: (a) serious or repeated violations of these Terms that are not cured after notice; (b) illegal activity or criminal conduct; (c) violation of intellectual property rights; or (d) actions that endanger the security of the service or other Users.
- Termination Procedures:Except in emergency cases involving security threats or illegal activity, the Company will provide at least ten (10) days' notice before terminating a service agreement.
- User-Initiated Termination: Users may terminate their service contract at any time by submitting a written termination request to the Company. Termination will be effective as of the date specified by the User or immediately upon request.
- Data Preservation: Upon termination, Users have thirty (30) days to download and export their content. After thirty days, the Company may delete all User data associated with the account.
Article 22
Compensation for Damages
Users are responsible for damages caused by their violation of these Terms or misuse of the service, and agree to indemnify the Company against claims arising from User conduct.
- Users agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from: (a) User violation of these Terms; (b) User violation of applicable laws; (c) User-uploaded content that infringes on intellectual property rights or causes harm; or (d) User activity that damages the service or other Users.
- Users agree to compensate the Company for costs incurred in addressing User violations, including costs of investigation, legal action, and remediation of security breaches caused by User conduct.
- In cases where User violations cause damage to other Users or third parties, the User shall be responsible for compensating the affected parties at the Company's direction.
- The Company's right to indemnification is in addition to any other rights or remedies available to the Company under these Terms or applicable law.
The Company provides the service on an "as-is" basis and disclaims certain warranties regarding service quality, reliability, and fitness for specific purposes.
- Service Availability:The Company does not guarantee uninterrupted, continuous, or error-free service operation. The service may experience downtime due to maintenance, technical issues, or circumstances beyond the Company's control.
- No Fitness Warranty: The Company disclaims any warranty that the service will meet specific User requirements or produce specific results. Users are responsible for determining whether the service is suitable for their particular needs.
- Accuracy Disclaimer: While the Company strives to provide accurate AI-generated suggestions and assistance, the Company does not guarantee the accuracy, quality, or applicability of AI-generated content. Users remain responsible for reviewing and validating all content.
- Third-Party Content: The Company does not endorse or assume responsibility for any third-party content, links, or services accessible through the service.
- Data Loss:While the Company implements backup systems, the Company is not liable for data loss resulting from User actions, force majeure events, or circumstances beyond the Company's reasonable control.
- Limitation of Liability:To the maximum extent permitted by law, the Company's total liability to Users is limited to the amount paid by the User for the service in the twelve (12) months preceding the claim.
Article 24
Jurisdiction and Governing Law
These Terms of Service shall be governed by applicable law and disputes shall be resolved through the procedures outlined herein.
- Governing Law: These Terms are governed by the laws of South Korea, without regard to its conflicts of law principles. However, Users are protected by consumer protection laws in their jurisdiction that cannot be waived.
- Venue: Users agree that any legal action or proceeding arising from these Terms or the service shall be brought in the courts located in the Republic of Korea, and Users consent to the jurisdiction of such courts.
- Dispute Resolution: Before pursuing formal legal action, Users and the Company agree to attempt informal resolution of disputes through good-faith negotiation and communication.
- Arbitration Option: For disputes not resolved through negotiation, Users may request non-binding arbitration as an alternative to litigation. The parties will cooperate in selecting a neutral arbitrator.
- Attorneys' Fees:In any legal proceeding to enforce these Terms, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs from the non-prevailing party.
Supplementary
Supplementary Provisions
The following supplementary provisions are effective as of August 25, 2025, and supplement the articles outlined above.
- Beta and Experimental Features:Features marked as "beta," "experimental," or "preview" are provided for evaluation purposes and may be unstable or subject to removal without notice. Users should not rely on such features for critical workflows.
- Accessibility Compliance: The Company is committed to providing accessible service to Users with disabilities in accordance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards to the extent feasible.
- Export and Data Portability: Users may export their documents and data in standard formats including PDF, LaTeX, and JSON to facilitate migration to other services if desired. Export requests will be processed within five (5) business days.
- Security Incident Response: In the event of a confirmed security breach affecting User personal information, the Company will notify affected Users without unreasonable delay and provide guidance on protective measures.
- Compliance with Export Controls: Users agree not to use the Murfy service to develop, produce, or export prohibited technologies or materials in violation of international export control laws or regulations.
- Reserved Rights: All rights not expressly granted to Users in these Terms are reserved by the Company. The Company retains ownership of all service infrastructure, software, and intellectual property.
